3. Intellectual Property
3.1 CYLVR’s content
All content on cylvr.com, including text, copy, design, graphics, logos, video samples, and case study materials, is the intellectual property of CYLVR Creative Studio and is protected by applicable copyright and trademark law.
You may share links to our Insights articles and reference our content with proper attribution. You may not reproduce substantial portions of our content without written permission.
3.2 Client deliverables
Upon full payment of all agreed fees, CYLVR transfers all intellectual property rights in the final delivered video assets to the client. This includes usage rights across all platforms and formats specified in the project agreement.
CYLVR retains the right to include completed work in our portfolio, showreel, and marketing materials unless the client requests confidentiality in writing before project commencement.
3.3 Work produced during the First Frame offer
The CYLVR First Frame is a complimentary sample produced for qualifying project enquiries. The sample is created for internal review and discovery call purposes. Full usage rights to the First Frame sample are discussed and confirmed as part of the project agreement, if the client proceeds with a paid engagement.
4. Project Enquiries and Engagement
4.1 Submitting a project brief
Submitting a project brief through cylvr.com/start does not constitute a contractual agreement. It is an expression of interest that initiates our review and response process. CYLVR reserves the right to decline any project enquiry without providing a reason.
4.2 Project agreements
A formal engagement between CYLVR and a client is established only when both parties have signed a written project agreement or statement of work and a deposit has been received by CYLVR.
All project-specific terms — including deliverables, timelines, revision rounds, payment schedule, and rights — are governed by the individual project agreement, which takes precedence over these general Terms where they conflict.
4.3 Revisions and changes
Revision rounds are specified in each project agreement. Requests that fall outside the agreed scope — including changes to creative direction after approval, additional formats, or expanded deliverables — will be quoted as additional work.
4.4 Cancellations
Cancellation terms are specified in each project agreement. In general, work completed up to the point of cancellation is billable. Deposits are non-refundable once production has commenced.
5. Payment Terms
5.1 Deposits
CYLVR typically requires a deposit of 50% of the agreed project fee before production commences. The remaining balance is due upon delivery of final files. Specific payment terms are confirmed in each project agreement.
5.2 Late payment
Invoices unpaid beyond the agreed payment terms may incur a late payment charge of 2% per month on the outstanding balance. CYLVR reserves the right to withhold delivery of final files until all outstanding amounts are settled.
5.3 Currency
Unless otherwise agreed in writing, all fees are invoiced in USD or GBP. Currency conversions are the client’s responsibility.
5.4 Payment processing
Payments are processed securely through Stripe. By making a payment, you agree to Stripe’s terms of service available at stripe.com/terms.
6. Confidentiality
6.1 Client confidentiality
CYLVR treats all client briefs, business information, and project details as strictly confidential. We do not share client information with third parties except as necessary to fulfil the project (e.g., with specialist contractors under non-disclosure agreements).
6.2 White-label partnerships
For agency partners engaging CYLVR on a white-label basis, we maintain complete confidentiality regarding the partnership and the identity of end clients. We do not disclose white-label relationships to third parties under any circumstances.
6.3 CYLVR’s confidential information
Our production processes, pricing structures, proprietary workflows, and business methods are confidential. Clients agree not to disclose this information to competitors or use it for purposes other than the engagement with CYLVR.
7. Warranties and Representations
7.1 Client warranties
By submitting a project brief or entering a project agreement with CYLVR, you warrant that:
- You have the authority to engage CYLVR on behalf of the organisation named in the brief
- All brand assets, logos, and materials you provide for use in production are owned by you or used with appropriate permission
- The intended use of the deliverables complies with all applicable laws and platform policies
- Any claims or statements to be included in video content are accurate and not misleading
7.2 CYLVR’s warranties
CYLVR warrants that:
- Deliverables will be produced to the standard described in the approved creative brief
- We hold the necessary licences for any music, sound design, or third-party elements incorporated into deliverables
- We will not knowingly infringe the intellectual property rights of any third party
7.3 No guarantee of results
CYLVR does not guarantee specific marketing outcomes, conversion rates, ROAS, or audience reach from any video content we produce. Performance depends on factors outside our control including media buying strategy, audience targeting, landing page quality, and market conditions.
8. Limitation of Liability
To the maximum extent permitted by applicable law, CYLVR’s total liability to you for any claim arising from our services shall not exceed the total fees paid by you to CYLVR in the 12 months preceding the claim.
CYLVR is not liable for:
- Indirect, incidental, or consequential losses
- Loss of revenue, profit, or business opportunity
- Losses arising from your use of deliverables in ways not specified in the project agreement
- Platform suspensions, policy violations, or advertising account restrictions resulting from the content of deliverables
9. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or our services will be subject to the exclusive jurisdiction of the courts of England and Wales, unless both parties agree to an alternative dispute resolution method.
For clients based outside the United Kingdom, we encourage the use of good-faith negotiation or professional mediation as a first step before formal legal proceedings.
